Version 1.0 · Last updated: 23 October 2026
This agreement is between you, the person or business that runs a shop on Spree ("you", the "seller"), and Spreetech Limited (RC 9939578), 29 Park Road, Ebute Metta, Lagos State, Nigeria ("Spree", "we", "us").
It applies together with the terms of use, the returns policy, the prohibited items list and the privacy policy. If they conflict on anything about selling, this agreement wins.
Section 6 explains how your money moves, including reversals. Section 13 limits our liability. Please read both.
1. Opening a shop
1.1 You must be at least 18, and the shop must be run by you or by a business you are authorised to act for.
1.2 To open a shop you give us your legal name, your NIN or BVN, a live selfie, your pickup address and a bank account in your own name (or your business's name). We check your identity with our identity provider and match the name on your ID, your application and your bank account. A person at Spree approves or declines every application and tells you the reason.
1.3 Keep these details true and up to date. If your bank account or address changes, change it in the app.
1.4 You are an independent business. This agreement does not make you Spree's employee, partner or agent, and you must not present yourself as one.
2. What you post
2.1 Every piece you post must:
- be in your hands now, in the sizes and quantities you list;
- be accurately described and photographed, with your own photos or photos you have the right to use; the photos must show the actual piece or the identical stock item;
- be labelled new or used truthfully. Thrift is used, as is anything worn before or refurbished, and must show every fault (FCCPA section 117). This applies to Gbanjo drops too;
- be genuine, lawful to sell, and allowed by the prohibited items list;
- be on the right shelf, with the right sizes;
- carry a true price. A "was" price or discount must be real (FCCPA section 123).
2.2 Keep your stock count right. Use counter sale in the app when you sell a piece outside Spree, so a buyer never orders something you no longer have.
2.3 You give Spree a free, non-exclusive licence to show your photos, videos, shop name and descriptions in Spree, on your shop's and pieces' share pages, and in Spree's own promotion of Spree, while they are on Spree. You confirm you have the rights to give it.
2.4 We may hide or remove a piece that breaks this agreement, and we will tell you why.
3. Orders
3.1 A buyer pays before you see the order. You then have 15 minutes to accept or decline it (counted from your opening time if the shop is closed when the order is placed). If you do not answer, the order is cancelled and the buyer is refunded.
3.2 Accept only orders you can fulfil. Declining has consequences: declining for "out of stock" hides that piece; "can't deliver that far" limits your shop to 20 km; any other reason counts against your fulfilment rate.
3.3 Set your opening hours, your daily cut-off (3pm unless you change it) and any pause in the app, and keep them true. Orders after your cut-off are promised for your next opening day.
3.4 You must sell to any buyer who orders a piece in stock at the listed price. You must not ask a buyer to pay you, or anyone else, outside Spree for an order started on Spree, and you must not move a Spree buyer to another channel to avoid Spree's fees.
4. Packing and handing over
4.1 Pack each order securely in a closed bag or box, labelled with the order reference, so it arrives clean and undamaged. If Spree gives you tamper-evident seals, use them.
4.2 Have the order ready when you mark it packed. A rider arranged by Spree will come to your pickup address.
4.3 The pickup code. Your app shows a four-digit pickup code for each order. Give it only to the rider collecting that order through Spree, in person, when you hand over the parcel. Entering the code confirms the rider received the parcel from you and releases your money for that order. Never send the code by phone or message.
4.4 After the pickup code, Spree is responsible for the parcel until it is delivered or brought back to you.
5. Fees
5.1 Commission: 10% of the gross value of each order, where gross value is the price of the pieces less any discount you offered.
5.2 Promotions: discounts you create come out of your gross. A free delivery promotion is paid by you from that order's payout; the rider is still paid in full.
5.3 Return trips: if a parcel comes back to you because of your fault (for example, wrong or badly packed piece, or an approved return you were at fault for), the cost of the return trip is charged to you.
5.4 The buyer's delivery fee and Service & protection fee belong to Spree. You are never charged for sign-up, listing, or the bank transfer of your payouts.
5.5 Fees are stated without VAT. If Spree becomes required to charge VAT on its fees, VAT will be added at the legal rate and shown in your ledger.
5.6 We may change our fees with at least 14 days' notice in the app. A change never applies to an order already placed. If you do not accept a change, you may close your shop before it applies.
6. How you are paid
6.1 Spree collects payment for you. You appoint Spree as your limited agent to collect payments from buyers for your orders, through Paystack, and to make refunds under the returns policy. When a buyer's payment is confirmed, the buyer has paid you; you must not ask the buyer for any more money for that order.
6.2 Your money is released at pickup. When the rider enters your pickup code, your net for the order (gross value, less commission, less any free delivery you funded) is credited to your Spree ledger.
6.3 Payouts are daily. Every evening at about 9pm Lagos time, everything credited and not yet paid is transferred to your bank account, if it comes to at least ₦100. A smaller amount waits for the next payout. Spree pays the bank transfer fees.
6.4 Reversals. If a parcel comes back to you, because the buyer was not there, turned it down at the door or returned it under the returns policy, the credit for those pieces is reversed. If you have already been paid, the reversal comes out of your next payouts. Every reversal appears in your ledger as its own line, with the order reference.
6.5 A negative balance. If reversals or charges are more than what you are owed, your balance can go below zero. We recover it from your future payouts. If your shop closes with a negative balance, you must pay it to us within 30 days of our request.
6.6 Set-off. You agree that we may deduct from what we owe you any amount you owe us under this agreement, and we will show every deduction in your ledger.
6.7 Disputed card payments. If a buyer disputes a payment with their bank and the dispute is caused by you (for example, the piece was counterfeit or not as described), the amount lost is charged to you. If the dispute is about delivery, Spree bears it.
6.8 Payout holds. We may hold a payout while we investigate suspected fraud, a serious complaint or a legal requirement. We will tell you the reason unless the law prevents it, and we will release what is not in dispute as soon as we can.
6.9 If you think a figure in your ledger is wrong, tell us within 60 days.
7. Returns, refunds and your responsibility for the goods
7.1 You are the seller of the goods. You are responsible to the buyer for the goods being as described, genuine, lawful, safe, of good quality and fit for their purpose, under the FCCPA and other law.
7.2 When a buyer reports a problem, you have 24 hours to accept the claim or explain why you disagree, with photos. A person at Spree decides. When a returned piece reaches you, you have 24 hours to tell us if it is not what you sent.
7.3 Buyers may also return goods that are defective or unsafe within three months, and goods not as described within a reasonable time, as the law allows (returns policy, section 5). You must honour those rights: repair, replace or refund, and bear the return cost. If the goods are said to be defective, it is for you to show they are not (FCCPA section 145).
7.4 We decide refunds under the returns policy, and we may refund a buyer before your answer if the evidence is clear. Our decision on a refund does not stop you or the buyer going to a regulator or court.
7.5 You agree to repay Spree, and Spree may recover from your payouts, any refund, chargeback, fine or reasonable cost Spree has to pay because a piece you sold was counterfeit, unlawful, prohibited or not as described, or because you broke this agreement.
8. Buyers' data
8.1 You receive a buyer's display name and what they ordered, only to fulfil the order. You must not copy it, use it for marketing, contact the buyer outside Spree, or share it with anyone.
8.2 Keep any personal data you see on Spree confidential and secure, and tell us at once at [email protected] if you think it has been lost or misused.
9. Your record and our standards
9.1 Your shop shows your fulfilment rate and buyer reviews. Your fulfilment rate counts delivered orders against orders that failed because of you (damaged or wrong parcels, declines, unanswered orders).
9.2 You must treat buyers, riders and Spree staff with respect, and must not discriminate against anyone.
10. Taxes and the law
10.1 You are responsible for your own taxes on your sales and income, and for any registration, permit or licence your business needs.
10.2 If the law requires Spree to collect, withhold or report tax on your sales or payouts, we will do so and show it in your ledger, and we may share the information the tax authority requires.
10.3 You must comply with all laws that apply to what you sell, including consumer protection, trade description, customs and intellectual property law.
11. Suspending or closing a shop
11.1 You may close your shop at any time once your open orders are finished. Money owed to you is paid in the normal way.
11.2 We may suspend your shop, hide pieces, or close it if you break this agreement or the law, if there are repeated genuine complaints, or if we suspect fraud. Except where the risk is urgent or the law prevents it, we will tell you the reason first and give you a chance to respond. You can ask for a review through Help.
11.3 We may also end this agreement for any reason with 30 days' notice.
11.4 Sections 6.4 to 6.9, 7, 8, 12, 13 and 14 continue after the shop closes.
12. You protect Spree
You will cover Spree for any claim by a buyer, a brand owner, a regulator or anyone else, and any loss, fine or reasonable legal cost, caused by the goods you sold, your listings or your breach of this agreement or the law.
13. Spree's responsibility to you
Please read this section.
13.1 We will provide the marketplace and delivery with reasonable care and skill. We are responsible for a parcel from the moment the rider enters your pickup code until it is delivered or returned to you. If a parcel is lost in our care, you keep your money for it. If it comes back to you damaged and the damage happened in our care, we pay you the fair value of the damage.
13.2 We do not promise any level of sales, and the app may sometimes be unavailable for maintenance or because of events outside our control.
13.3 We are not responsible for loss of profit, business or goodwill, or for losses we could not reasonably have foreseen.
13.4 Apart from paying you what your ledger shows you are owed, our total liability to you in any 12 months is limited to the commission you paid us in those 12 months.
13.5 Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud or gross negligence, or for anything the law does not allow to be limited.
14. Disputes
14.1 Tell us first through Help or at [email protected]. We will try to settle it with you within 14 days.
14.2 If we cannot, either of us may refer it to mediation at the Lagos Multi-Door Courthouse.
14.3 If mediation does not settle it within 30 days, the dispute will be finally decided by arbitration under the Arbitration and Mediation Act 2023, by a single arbitrator agreed by us both (or, failing agreement, appointed by the Lagos Court of Arbitration), seated in Lagos, in English.
14.4 Either of us may still go to court for urgent relief, and a claim small enough for the Lagos State small claims court may be taken there instead.
14.5 This agreement is governed by the laws of the Federal Republic of Nigeria.
15. Changes to this agreement
We may change this agreement with at least 14 days' notice in the app, unless the law requires a change sooner. You will be asked to accept the new version before you can keep selling. If you do not accept it, you may close your shop.
16. General
16.1 This agreement, with the documents named at the top, is the whole agreement between you and Spree about selling on Spree.
16.2 If any part is found invalid, the rest still applies. If we do not enforce a right straight away, we have not given it up.
16.3 You may not transfer this agreement. We may transfer it to a company that takes over Spree, and we will tell you.
16.4 Notices to you go to the app, by text or by email; notices to us go through Help, to [email protected], or to our registered office.
16.5 You accept this agreement electronically, and the record of your acceptance (version and time) is evidence of it.
